Gym Partner Agreement
Last updated 16 October 2026 · Version 2026-10-16-draft
This agreement is between [Legal entity name] (“Cirkuit”) and the gym registering on the Cirkuit partner dashboard (“Partner”). The Partner accepts it when registering.
1. What Cirkuit does
Cirkuit sells Cirkuit Passes to members and lists the Partner's gym in the Cirkuit app. Members pay Cirkuit, not the Partner. Cirkuit assigns the gym a tier, which decides which passes include it.
2. What the Partner does
- Admit every member who checks in with a valid pass during opening hours, on the same terms as the Partner's own members, at no extra charge.
- Display the Cirkuit QR code at the entrance and keep the gym's location, hours, facilities and photos accurate.
- Run classes listed in the app as scheduled and honour bookings, or cancel them in the dashboard in good time.
- Hold all licences and insurance the gym needs, and keep premises and equipment safe.
- Not charge members for access, solicit them to pay the Partner directly for what their pass covers, or record check-ins that didn't happen.
3. Fees and payouts
Cirkuit pays the Partner a fixed monthly fee agreed in writing and shown in the partner dashboard. The fee is prorated by the number of days the gym was live in the month. Cirkuit deducts TDS at the applicable rate and issues the TDS certificate. Payouts are calculated on the 1st of each month for the previous month and paid by bank transfer to the Partner's verified account, normally within 10 working days. Cirkuit may adjust a payout for days the gym was closed or could not admit members, with the reason shown in the dashboard.
The Partner is responsible for its own GST registration and invoicing to Cirkuit where applicable.
4. Listing content
The Partner grants Cirkuit a licence to display its name, logo, photos and description in the app and on the website. Banner and gym images are reviewed by Cirkuit before going live.
5. Member data
Member details shown in the dashboard (name, phone, check-ins, bookings) may be used only to admit members and run classes. The Partner must keep them confidential, not use them for marketing, and delete any copies when this agreement ends.
6. Liability
The Partner is responsible for members' safety on its premises and indemnifies Cirkuit against claims arising from the gym's premises, equipment, staff or services.
7. Term and termination
Either party may end this agreement with 30 days' written notice. Cirkuit may suspend the listing immediately for serious breach, safety issues or fraud. Fees are paid up to the last day the gym was live.
8. General
Cirkuit may update this agreement with 30 days' notice in the dashboard. Laws of India apply; courts at [city] have jurisdiction. Contact: cirkuitfit@gmail.com.
